Account Creation To use certain features of the Service, you must create an account. Free Trials If offered, free trials are subject to: - One trial per user/organization - Automatic conversion to paid subscription unless canceled - Standard Terms apply during the trial period

Cancellation - You may cancel your subscription at any time through your account settings - Cancellation takes effect at the end of the current billing period - No prorated refunds for partial months

Refund Policy We offer a 14-day refund policy for annual subscriptions if you are not satisfied with the Service. Monthly subscriptions are non-refundable.

Content Standards You are responsible for all content you submit to the Service. Content must not: - Be defamatory, obscene, or offensive - Infringe on third-party rights - Contain confidential information you don't have permission to share - Violate any applicable laws

Our Intellectual Property The Service, including its design, features, content, and underlying technology, is owned by StartupVision and protected by intellectual property laws. Your Content You retain ownership of the content you submit to the Service ("User Content"). AI-Generated Content Content generated by our AI tools is provided for your use. You may use AI-generated outputs in accordance with these Terms, but you acknowledge that: - AI outputs may contain errors or inaccuracies - You are responsible for reviewing and verifying AI outputs - Similar outputs may be generated for other users

Service Provided "As Is" THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

AI Limitations You acknowledge that: - AI-powered analysis is not a substitute for professional advice - AI outputs may be inaccurate, incomplete, or outdated - Business decisions should not rely solely on AI recommendations - We do not guarantee the success of any startup or business idea

No Professional Advice The Service does not constitute legal, financial, investment, or professional advice. You should consult qualified professionals for such advice.

Third-Party Services The Service may integrate with third-party services. We are not responsible for the availability, accuracy, or content of third-party services.

Limitation of Damages TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL STARTUPVISION, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO: - Loss of profits, revenue, or data - Business interruption - Cost of substitute services - Any other intangible losses

Cap on Liability OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF: - The amount you paid us in the 12 months preceding the claim, or - One hundred dollars ($100)

Exceptions These limitations do not apply to: - Our willful misconduct or gross negligence - Liability that cannot be limited by applicable law - Your breach of these Terms

Basis of the Bargain You acknowledge that these limitations are an essential part of the bargain between us and reflect a reasonable allocation of risk.

You agree to indemnify, defend, and hold harmless StartupVision and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with:

• Your User Content
• Your misuse of AI-generated content

We reserve the right to assume exclusive control of the defense of any matter subject to indemnification, in which case you agree to cooperate with our defense.

Termination by You You may terminate your account at any time by: - Canceling your subscription through account settings - Contacting our support team

Termination by Us We may suspend or terminate your access to the Service: - For violation of these Terms - For non-payment of fees - If required by law - At our discretion, with reasonable notice

Effect of Termination Upon termination: - Your right to use the Service ceases immediately - We may delete your data after a reasonable retention period - Provisions that by their nature should survive will remain in effect - You remain liable for any unpaid fees

Informal Resolution Before filing a claim, you agree to try to resolve the dispute informally by contacting us at legal@startupvision.ai. We will attempt to resolve the dispute within 30 days.

Arbitration Agreement If we cannot resolve the dispute informally, you agree that any dispute will be resolved by binding arbitration administered by JAMS under its Streamlined Arbitration Rules. The arbitration will be conducted in English, and judgment on the award may be entered in any court with jurisdiction.

Class Action Waiver You agree to resolve disputes with us on an individual basis and waive any right to participate in a class action or class-wide arbitration.

Exceptions This arbitration agreement does not apply to: - Claims for injunctive relief - Disputes within small claims court jurisdiction - Intellectual property disputes

Governing Law These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

Entire Agreement These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and StartupVision.

Severability If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Waiver Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.

Assignment You may not assign your rights under these Terms without our written consent. We may assign our rights without restriction.

Force Majeure We are not liable for delays or failures in performance resulting from circumstances beyond our reasonable control.
